1. Agreement to Terms

By accessing and using the Zinob HR software platform, website, and related services ("Services"), you acknowledge and agree to be bound by these Terms of Service. If you do not agree to these terms, you must not use our Services. These terms constitute a legal agreement between Zinob Inc. Pvt. Ltd. ("Company") and you or your organization ("Client").

2. Service Description

Zinob HR is a cloud-based Human Resource Management System that provides tools for employee management, attendance tracking, payroll processing, leave management, performance evaluation, and recruitment. The Services are provided on an "as-is" basis and may be accessed via web browsers and mobile applications.

3. Eligibility and Account Responsibility

You represent that you are at least 18 years old and have the authority to enter into this agreement on behalf of your organization. You are responsible for maintaining the confidentiality of your login credentials and for all activities conducted through your account. You agree to notify us immediately of any unauthorized access or security breaches.

4. Use License and Restrictions

We grant you a limited, non-exclusive, non-transferable license to use the Services for your organization's internal HR management purposes. You agree NOT to:

  • Reverse engineer, decompile, or attempt to derive source code
  • Modify, adapt, or create derivative works
  • Rent, lease, or lend the Services
  • Use the Services for unauthorized purposes or illegal activities
  • Attempt to gain unauthorized access to systems or data
  • Transmit malware, viruses, or harmful code
  • Violate Nepal labor laws or employment regulations
  • Process data in violation of applicable privacy laws
  • Share access credentials with unauthorized individuals

5. Data Ownership and Processing

Data Ownership: You retain ownership of all employee data and organizational information uploaded to the platform. We act as a data processor on your behalf.

Data Processing: You are responsible for obtaining necessary consents from employees before processing their personal data through our platform. You warrant that you have authority to authorize processing of employee data and that such processing complies with Nepal labor laws and applicable privacy regulations.

Compliance Responsibility: You are responsible for ensuring your use of the Services complies with Nepal's labor laws, income tax regulations, social security requirements, and any applicable data protection laws.

6. Service Availability and Support

We strive to maintain 99.5% uptime for the Services, excluding scheduled maintenance and force majeure events. We provide technical support during business hours via email and phone. Critical issues will be addressed within 24 hours. Scheduled maintenance may occur with prior notice.

7. Fees and Payment

Service fees are as agreed in your subscription agreement. Fees are billed monthly or annually based on the number of employees and selected features. Payment terms are Net 30 unless otherwise specified. Late payments may result in service suspension. All fees are exclusive of applicable taxes.

8. Intellectual Property Rights

The Services, including software, design, documentation, and content, are the exclusive property of Zinob Inc. Pvt. Ltd. or our licensors. You acquire no ownership rights. All trademarks and logos are protected intellectual property. You may not use them without prior written permission.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • We are not liable for indirect, incidental, special, or consequential damages
  • Our total liability shall not exceed the fees paid in the 12 months preceding the claim
  • We are not liable for third-party actions or data loss resulting from your failure to maintain backups
  • We are not liable for service interruptions due to force majeure events

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL EXPRESS AND IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE OR UNINTERRUPTED.

11. Indemnification

You agree to indemnify and hold harmless Zinob Inc. Pvt. Ltd., its officers, employees, and agents from any claims, damages, or costs arising from:

  • Your violation of these Terms
  • Your use of the Services
  • Your violation of applicable laws
  • Your infringement of third-party rights
  • Your processing of employee data without proper authorization

12. Termination

Either party may terminate this agreement with 30 days' written notice. Upon termination, you must cease using the Services. We will provide access to your data for 30 days after termination for export purposes. After 30 days, data will be securely deleted unless retention is required by law.

13. Data Security and Backups

While we implement industry-standard security measures, no system is completely secure. You are responsible for maintaining backups of critical data. We are not liable for data loss resulting from your failure to maintain backups or from circumstances beyond our control.

14. Compliance with Laws

You agree to comply with all applicable laws, including Nepal's labor laws, income tax regulations, social security requirements, and data protection laws. You are solely responsible for ensuring your use of the Services complies with all legal requirements in your jurisdiction.

15. Modifications to Terms

We may modify these Terms at any time. Material changes will be communicated via email or prominent website notice. Continued use of the Services constitutes acceptance of modified terms. If you do not agree to changes, you may terminate your subscription.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of Nepal. Any disputes shall be subject to the exclusive jurisdiction of courts in Kathmandu, Nepal. Before pursuing legal action, parties agree to attempt resolution through good-faith negotiation.

17. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
